Please read these Terms of Service ("Terms") carefully before using ellix.ai or any of our products, including aiassist.chat. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Definitions

  • "ellix.ai", "we", "us", or "our" refers to the ellix.ai company and its products.
  • "Service" refers to the ellix.ai website, the aiassist.chat platform, and any related products or APIs.
  • "You" or "Customer" refers to the individual or entity using the Service.
  • "End Users" refers to the visitors or users who interact with a Customer's deployed widget or integration.
  • "Content" means any text, data, files, or other materials uploaded to or processed by the Service.

2. Eligibility

You must be at least 16 years old to use our services. By using the Service, you represent that you meet this requirement and have the legal authority to enter into these Terms on behalf of yourself or your organization.

3. Account Registration and Security

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You agree to notify us immediately at support@ellix.ai if you suspect unauthorized access to your account.
  • We reserve the right to suspend or terminate accounts that we believe are compromised or used in violation of these Terms.
  • Each API key is scoped to a specific site or project. You must not share API keys across unrelated properties.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Transmit harmful, abusive, harassing, defamatory, or fraudulent content
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Scrape, crawl, or otherwise harvest data from the Service in an unauthorized manner
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service to build a competing product or service
  • Circumvent rate limits, usage caps, or billing mechanisms
  • Process or store content that violates third-party intellectual property rights

We reserve the right to suspend your access immediately if we determine, in our sole discretion, that you have violated this Acceptable Use policy.

5. Subscriptions and Payment

  • Certain features of the Service require a paid subscription.
  • Subscription fees are billed in advance on a monthly or annual basis as selected at sign-up.
  • All fees are exclusive of applicable taxes. You are responsible for any taxes associated with your subscription.
  • We use Stripe for payment processing. By providing payment information, you agree to Stripe's terms of service.
  • If payment fails, we will notify you and provide a grace period before suspending your account.
  • Refunds: We do not offer refunds for partial subscription periods, except where required by applicable law.

6. Free Plans and Trials

  • Free plan usage is subject to the limits stated on our Pricing page.
  • Trial periods, where offered, are subject to any conditions stated at sign-up.
  • We reserve the right to modify or discontinue free plans with 30 days notice.

7. Intellectual Property

7.1 Our property

The Service, including its code, design, trademarks, and content created by ellix.ai, is owned by ellix.ai and protected by intellectual property laws. Nothing in these Terms grants you ownership of any part of the Service.

7.2 Your content

You retain ownership of all Content you upload to or process through the Service. By using the Service, you grant us a limited license to process your Content solely to provide the Service to you.

7.3 Feedback

If you provide us with feedback or suggestions about the Service, we may use that feedback without restriction or compensation to you.

8. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described there.

For aiassist.chat deployments, you are the data controller for your End Users' conversation data. You are responsible for ensuring your deployment complies with applicable privacy laws, including obtaining any required consents from End Users.

9. Third-Party Services

The Service may integrate with or rely on third-party services (e.g., LLM providers such as Anthropic, OpenAI, and OpenRouter). Your use of those integrations may be subject to the third party's terms and privacy policies. We are not responsible for third-party services.

10. Service Availability and Modifications

  • We aim for high availability but do not guarantee uninterrupted access to the Service.
  • We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice.
  • Scheduled maintenance windows will be communicated in advance where possible.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELLIX.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO ELLIX.AI IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless ellix.ai and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of: (a) your use of the Service in violation of these Terms; (b) Content you submit to the Service; or (c) your violation of any applicable law or third-party rights.

14. Termination

  • You may terminate your account at any time by contacting support@ellix.ai or through your account settings.
  • We may terminate or suspend your access immediately, without prior notice, if you breach these Terms.
  • Upon termination, your right to use the Service ceases. We will delete your data in accordance with our Privacy Policy.

15. Governing Law and Disputes

These Terms are governed by the laws of [your jurisdiction], without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in [your jurisdiction], except that either party may seek injunctive relief in court for intellectual property violations.

16. Changes to These Terms

We may update these Terms at any time. When we do, we will update the "Last updated" date and notify you by email for material changes. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
